3. Consider approval of Minutes of Special Meeting of Board of Directors held on July 17, 2024

(10:15 a.m.) Conduct Public Hearing at the Port Commission Office located at 221 Houston Avenue, Port Arthur, Texas 77640, and via teleconference at Dial-In: 1-866-244-8528, Access Code:  328412# regarding the issuance by the Corporation of variable rate demand industrial development revenue bonds, pursuant to a plan of finance in one or more series, not to exceed $8,000,000 in principal amount to loan the proceeds thereof to Central Texas Biogas, LLC, and used to finance or refinance the acquisition, construction, development, and installation of solid waste facilities for the disposal of solid animal waste (manure), through the collection and disposal of waste cow manure and collection of biogas.  The project will be located at heifer and dairy facilities located at 600 County Road 252, Gustine, Texas 76455.

Consider Adoption of a Resolution Authorizing Port Arthur Navigation District Industrial Development Corporation Variable Rate Demand Industrial Development Revenue Bonds (Central Texas Biogas, LLC Project), Series 2024; Authorizing the Execution of an Indenture of Trust, a Loan Agreement, and a Purchase Agreement; Approval of an Official Statement; and Other Matters in Connection Therewith.
 

6. Consider Adoption of a Resolution Taking Affirmative Official Action Towards the Issuance of Bonds to Provide Solid Waste Disposal Facilities for Legacy Farms, LP (Plainview Project) and Declaring an Official Intent to Reimburse Expenditures.
